Terms of Use

These Terms of Use (the “Terms”) are an agreement between you and Appfaa Inc. (“Appfaa”, “we”, “us”), a company located at 3184 Capstan Crescent, Coquitlam, BC V3C 4E3, Canada. They cover your use of Divizo, including the website at divizo.app, the installable web app, and any related services (together, “Divizo”).

By creating an account or using Divizo, you agree to these Terms and acknowledge our Privacy Policy. If you don't agree, please don't use Divizo.

You must be at least 13 years old to use Divizo. If you are under the age of majority where you live, you may use Divizo only with the permission of a parent or guardian who agrees to these Terms for you. In the European Economic Area and the United Kingdom, you must be at least 16, or have a parent's consent where local law allows a lower age.

You may not use Divizo if you are barred from doing so under the laws that apply to you.

You sign in to Divizo with Google, with Apple, or with a one-time code we email to you. You are responsible for keeping those accounts and your email secure, and for everything done through your Divizo account. Tell us right away at appfaa@appfaa.com if you think someone has used your account without permission.

Keep your profile details accurate. You may have only one account and may not share it or sign in as someone else.

Divizo is a record-keeping tool. It helps groups write down shared expenses and calculates who owes whom.

• Divizo never holds, sends, or receives money. We are not a bank, money transmitter, or payment service.
• Pay links open third-party apps such as Venmo, PayPal, Cash App, or Interac e-Transfer with details filled in. Any payment you make there is between you and that provider, under its own terms. Marking a payment as settled in Divizo only updates the record.
• Balances, currency conversions, and summaries are informational. They are only as accurate as the information group members enter, and exchange rates come from third-party sources that may differ from the rate your bank or card applies.
• Divizo does not give financial, tax, or legal advice. Settling debts between group members is up to you and them.

“Your content” means what you add to Divizo: groups, expenses, amounts, notes, comments, receipt images, locations, payment handles, and similar material. You keep ownership of your content.

You give Appfaa a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, and display your content only as needed to run, secure, and improve Divizo, and to show it to the people you share it with. This licence ends when your content is deleted from Divizo, except for copies kept in backups for a limited time or as required by law.

Groups are shared. Everything you add to a group, including your name, photo, and payment handles, is visible to every member of that group. Anyone with a group's invite link can join it, so share links only with people you trust. When you add someone as a placeholder member, only add information about them that you have the right to share.

You are responsible for your content and confirm that you have the rights needed to add it.

You agree not to:

• break any law, or use Divizo to commit fraud or to launder money;
• harass, threaten, or impersonate others, or post hateful or sexually explicit content;
• upload content that infringes someone else's rights, or malware;
• probe, scan, or overload Divizo, get around its security or usage limits, or access it by automated means other than the interfaces we provide;
• copy, resell, or reverse-engineer Divizo except where the law allows it; or
• use Divizo's AI features to create unlawful or harmful content.

Divizo offers AI features such as receipt scanning, category suggestions, spending insights, and group cover art. These features send the relevant content (for example a receipt image or a summary of a group's expenses) to Google's Vertex AI service to generate a result. See the Privacy Policy for details.

AI output can be wrong or incomplete. Check amounts, items, and splits before you save them. You are responsible for what you save.

Divizo is free to use. Divizo Pro is an optional paid subscription that raises the monthly limits on AI features. Free accounts currently include 5 receipt scans, 3 insights, and 2 cover images every 30 days. Pro accounts are subject to fair-use limits shown in the app.

• Billing. Subscriptions are sold through our billing provider RevenueCat, and payments are processed by Stripe. Prices, the billing period, and any taxes are shown before you confirm. We never see or store your full card number.
• Automatic renewal. Monthly and annual plans renew automatically at the end of each period at the then-current price, and you authorise us to charge your payment method until you cancel.
• Cancelling. Cancel any time from You → Subscription → Manage subscription. Cancellation stops the next renewal; you keep Pro until the end of the period you already paid for.
• Refunds. Except where the law requires otherwise, payments are non-refundable and we don't give credits for partial periods. If something went wrong with a charge, contact us at appfaa@appfaa.com and we'll look into it. Nothing in these Terms limits any right you have under consumer protection law, including any right to cancel within a cooling-off period.
• Price changes. We may change Pro prices. We will tell you in advance, and a new price applies from your next renewal after the notice. If you don't agree, you can cancel before then.
• Changes to Pro. We may change what Pro includes, including its limits. We won't materially reduce what Pro includes during a period you have already paid for.

We keep improving Divizo, so features may be added, changed, or removed. If we plan to shut Divizo down, we will give you reasonable notice and a way to export your data first, for example through CSV export.

Divizo relies on third-party services such as Google (sign-in, hosting, maps, analytics, and AI), Apple (sign-in), Resend (account emails), RevenueCat and Stripe (subscriptions), and the payment apps that pay links open. Your use of those services is governed by their own terms and privacy policies. We are not responsible for them.

Divizo, including its software, design, name, and logo, belongs to Appfaa and its licensors and is protected by law. We give you a personal, non-exclusive, non-transferable, revocable licence to use Divizo in line with these Terms. If you send us feedback, we may use it without any obligation to you.

You can stop using Divizo at any time. To delete your account and personal data, use You → Privacy & data → Delete account, or email appfaa@appfaa.com. Deleting your account doesn't cancel an active Pro subscription; cancel it first.

We may suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or to protect Divizo or other people. Where reasonable, we will tell you first and give you a chance to export your data.

Sections that by their nature should survive (such as content licences needed for backups, disclaimers, limits of liability, and governing law) continue after your account ends.

To the extent the law allows, Divizo is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise that Divizo will be uninterrupted, error-free, or that calculations, exchange rates, or AI output will be accurate. Some places don't allow these exclusions, so parts of this section may not apply to you.

To the extent the law allows, Appfaa and its directors, employees, and suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of Divizo. This includes disputes between group members about money owed.

To the extent the law allows, our total liability for any claim relating to Divizo is limited to the greater of (a) the amount you paid us for Divizo in the 12 months before the claim arose, and (b) CA$50.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for fraud, or for death or personal injury caused by negligence.

To the extent the law allows, you agree to indemnify Appfaa against claims, losses, and reasonable costs (including legal fees) arising from your content or your breach of these Terms. This section does not apply to consumers where local law doesn't allow it.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of British Columbia have exclusive jurisdiction, and you and we agree to submit to them.

If you are a consumer, you keep the protection of the mandatory laws of the place where you live, and you may bring a claim in your local courts where that law gives you the right to. This includes residents of Québec, the European Union, and the United Kingdom.

Before starting a formal dispute, please contact us at appfaa@appfaa.com so we can try to resolve it informally.

We may update these Terms. If a change is material, we will tell you in the app or by email at least 30 days before it takes effect, unless the change is required sooner by law or for security. The date at the top shows the latest version. If you keep using Divizo after a change takes effect, the new Terms apply; if you don't agree, stop using Divizo and cancel any subscription.

These Terms and the Privacy Policy are the whole agreement between you and Appfaa about Divizo. If any part is found unenforceable, the rest stays in effect. If we don't enforce a right, we don't waive it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets, with notice to you. These Terms and the Privacy Policy are published in English only, and the English text is the only binding version, whatever language you use the app in.
